  1. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

  1. “Company,” “We,” “Us,” or “Our”Refers to GAE, the provider of entertainment services for care homes, including its subsidiaries, affiliates, employees, and authorized representatives.
  2. “Service(s)”Refers to all entertainment-related activities, events, programs, and services provided by the Company, including but not limited to live performances, activity sessions, musical performances, workshops, and other forms of entertainment designed for care home residents.
  3. “User” or “You”Refers to any individual or organization that uses or accesses our services, including care home staff, managers, or any authorized representatives acting on behalf of the care home.
  4. “Care Home”Refers to any residential facility, nursing home, or long-term care facility that uses the Company’s services to provide entertainment for its residents.
  5. “Resident”Refers to any individual living within a care home or long-term care facility where our services are provided, including both permanent residents and temporary guests.
  6. “Event”Refers to any specific entertainment activity or program organized and provided by the Company at the Care Home, which may include live performances, music sessions, arts and crafts workshops, games, or other scheduled activities.
  7. “Agreement”Refers to these Terms and Conditions, along with any additional agreements or documents related to the provision of services between the Company and the User.
  8. “Booking”Refers to the reservation or arrangement made by a Care Home to receive entertainment services from the Company, including scheduling, confirmation, and payment terms.
  9. “Personal Data”Refers to any information that can identify an individual, such as names, contact details, or other personally identifiable information provided by Users or Care Homes for the purposes of booking services, processing payments, or other interactions related to the service.
  10. “Third-Party Service Providers”Refers to any external vendors, contractors, or partners who assist in delivering the entertainment services, such as musicians, performers, technicians, or other relevant service providers.
  11. “Payment Terms”Refers to the details regarding pricing, payment methods, invoicing, and any other financial arrangements between the Company and the User related to the entertainment services provided.
  12. “Terms” or “Terms and Conditions”Refers to this document, which outlines the legal rights and responsibilities of both the Company and the User when using our services.
    By using our services, you acknowledge that you have read and understood these definitions and agree to be bound by the full Terms and Conditions.
  13. Services Provided
  14. Overview of ServicesGAE provides a variety of entertainment and recreational activities specifically designed for care homes and their residents. Our services are aimed at enhancing the well-being, engagement, and enjoyment of elderly residents through a range of carefully curated programs. These services may include, but are not limited to, the following:
    Live Performances: Musical performances, theater, and other live shows tailored to the preferences of the residents.
    Activity Sessions: Interactive sessions such as arts and crafts, games, and physical activity programs, which are designed to engage residents in a fun and stimulating manner.
    Workshops: Educational or creative workshops, such as storytelling, music appreciation, dance, and other programs that foster learning and creative expression.
    Special Events: Themed events and celebrations that coincide with seasonal holidays or special occasions, providing a festive and inclusive atmosphere for the care home community.
  15. Customization of ProgramsWe offer the ability to tailor entertainment programs based on the specific needs, preferences, and abilities of the care home’s residents. Our team will work with the care home to plan and schedule events that best suit the atmosphere and goals of the facility.
  16. Event Scheduling and BookingThe Care Home may schedule our services for a single event or recurring sessions. All bookings must be confirmed through our online platform or by contacting our team directly.The duration and frequency of events will vary depending on the type of service booked. Standard events may last between 30 minutes and 1 hour. Recurring programs can be scheduled weekly, bi-weekly, or monthly, depending on the Care Home’s preferences.
  17. Additional ServicesUpon request, we may offer additional services, such as themed decorations, event coordination, or specialized activities tailored to residents with specific needs, such as dementia-friendly programs or sensory experiences. Additional fees may apply for these services.
  18. Service LimitationsWhile we strive to provide high-quality entertainment, there may be limitations to our services due to venue capacity, technical requirements, health and safety concerns, or other unforeseen circumstances. The Company reserves the right to modify or cancel services in the event of force majeure or if deemed necessary for the safety or well-being of residents.
  19. Special RequestsIf the Care Home has any specific requests, such as the inclusion of particular themes, performers, or activities, these should be communicated to the Company during the booking process. We will make reasonable efforts to accommodate such requests, though certain adjustments may result in additional costs or scheduling constraints.
  20. Pricing and Payment TermsThe cost of services will be outlined in the booking confirmation and is subject to the pricing structure in effect at the time of booking. Payment for services is required in accordance with our Payment Terms (see section “Payment Terms”). Additional fees may apply for customization requests, travel expenses, or extra services.
    By using our services, you agree to the terms and conditions outlined in this section and accept the entertainment services as provided by GAE under the terms of this Agreement.
  21. User Responsibilities

As a User of GAE’s entertainment services, you agree to fulfill the following responsibilities to ensure the smooth operation of our services and maintain a safe, respectful, and enjoyable environment for all involved:

  1. Eligibility and Authority
    You confirm that you are legally authorized to enter into this agreement on behalf of the Care Home or facility you represent. You must be of legal age to use our services and have the necessary authority to make decisions on behalf of the Care Home or facility.
  2. Accurate Information
    You agree to provide true, accurate, and complete information when booking services, including details about the Care Home, its residents, and any special requirements for the entertainment sessions. This includes providing up-to-date contact information and notifying us promptly of any changes or updates.
  3. Compliance with Legal and Safety Standards
    You are responsible for ensuring that the Care Home complies with all applicable laws, regulations, and health and safety guidelines regarding the hosting of entertainment events, including those related to accessibility, public health (e.g., COVID-19 precautions), and resident care needs. The Care Home must ensure that the environment is safe and suitable for hosting events and activities.
  4. Respectful Conduct and Behavior
    You agree to ensure that all staff, residents, and visitors behave respectfully and in accordance with the guidelines set forth by GAE. This includes treating performers, service providers, and other participants with courtesy and respect. The use of offensive language, disruptive behavior, or harassment during events will not be tolerated, and may result in the suspension of services.
  5. Provision of Necessary Resources and Space
    You are responsible for ensuring that the necessary resources and space are available for events. This may include access to appropriate venues, seating arrangements, and any logistics to deliver the entertainment services effectively. GAE will provide a list of technical or logistical requirements upon booking.
  6. Health and Safety of Residents
    You are responsible for overseeing the well-being and safety of residents during events. You must ensure that appropriate staff or caregivers are present to assist residents, especially if special needs or health conditions exist. You should communicate any medical or mobility restrictions of residents to GAE in advance to allow for proper planning of the event.
  7. Cancellation and Rescheduling
    You agree to notify GAE in advance if you need to cancel or reschedule any bookings. Cancellations and reschedules are subject to the terms outlined in the “Cancellation Policy” section of these Terms and Conditions. Failure to cancel within the designated time frame may result in cancellation fees or the inability to reschedule.
  8. Respect for Company Property and Content
    You agree not to misuse or damage any equipment, materials, or intellectual property (such as performances, presentations, and other content) provided by GAE during the course of the service. This includes not recording, distributing, or sharing any performances or content without prior consent from the Company.
  9. Payment Obligations
    You agree to pay for all services in accordance with the agreed payment terms. This includes prompt payment of invoices and any additional charges for customization requests, extra services, or unforeseen costs. Failure to pay on time may result in a suspension or termination of services.
  10. Cooperation with GAE and Service Providers
    You agree to cooperate with GAE and any third-party service providers in facilitating the smooth delivery of entertainment services. This may include providing access to the venue, assisting with setup and teardown, and ensuring that all necessary permissions or authorizations are granted in advance.
  11. Handling Complaints or Issues
    If you encounter any issues or have complaints about the services provided, you agree to notify GAE promptly. We will make reasonable efforts to address concerns or resolve any issues related to the services.
    By using GAE’s entertainment services, you acknowledge and accept your responsibilities as outlined in this section. Failure to meet these responsibilities may result in the suspension or termination of services, and the Care Home may be liable for any resulting damages or costs.
  12. Payment Terms

Golden Age Entertainment values prompt payment to ensure seamless service delivery and maintain high-quality performances. This late payment policy outlines the terms and conditions surrounding payment timelines, notice of delays, and penalties for late payments.
The User is required to settle all invoices within 30 days of the invoice date
Payment is to be made via bank transfer or by card payment.
Late Payment policy

Payment Delays

Users experiencing payment delays must inform Golden Age Entertainment’s administration team immediately. The notice must include the reason for the delay and the revised payment date.
If the revised payment deadline is missed, late payment fees will be applicable. A late payment fee of £5 per day will be applied to any outstanding invoice after 30 days if no prior notice is provided.Further DelaysIn instances where a User fails to make payment by the revised payment date provided in writing, an administration fee of £35 will be charged in addition to the late payment fee incurred after the revised payment date.Additional NoticeGolden Age Entertainment reserves the right to suspend services or performances for accounts with outstanding payments beyond the permitted timelines.Continued failure to comply with the payment terms may result in the termination of services and further collection efforts

  1. Intellectual Property

· Ownership of ContentAll content provided by GAE in connection with the entertainment services, including but not limited to performances, workshops, event materials, artwork, music, videos, trademarks, logos, and other creative works (collectively referred to as “Company Content”), are the exclusive property of GAE or its licensors. The User acknowledges that all rights, titles, and interests in and to the Company Content are owned by GAE or its respective owners.
· Grant of Limited LicenseGAE grants the User a non-exclusive, non-transferable, revocable license to use the Company Content solely for the purpose of enjoying and participating in the entertainment services provided by GAE. This license is for personal, non-commercial use only and may not be sublicensed, distributed, or otherwise used for any commercial purpose without the prior written consent of GAE.
· Restrictions on UseThe User agrees not to:
1 Reproduce, modify, distribute, transmit, publicly display, or otherwise use any Company Content without prior written consent from GAE.
2 Record, capture, or create derivative works of any live performance, event, or session provided by GAE, unless explicitly authorized by GAE.
3 Use the Company’s trademarks, logos, or other intellectual property in any way that may confuse or mislead others about the relationship between the User and GAE or in any way that may infringe on GAE’s rights.
· User-Generated ContentIf the User or residents of the Care Home submit any content to GAE (e.g., feedback, photographs, videos, or other materials), the User grants GAE a worldwide, royalty-free, perpetual, and irrevocable license to use, display, distribute, and otherwise exploit such content in connection with the promotion, marketing, or operation of the services. The User affirms that they have the necessary rights to grant this license, and that any content submitted does not infringe the intellectual property rights of any third party.
· Third-Party ContentGAE may incorporate third-party content or materials into the services, such as music, videos, or other works. The User acknowledges that such third-party content is subject to the rights and restrictions set forth by the original creators or copyright holders. The User agrees to respect and comply with all applicable copyright and intellectual property laws related to any third-party content.
· Infringement of Intellectual PropertyThe User agrees to respect the intellectual property rights of GAE and any third parties. If the User becomes aware of any potential infringement of intellectual property related to the services, they agree to promptly notify GAE of such concerns.
By using GAE’s services, the User acknowledges that all Company Content and intellectual property provided by GAE remains the exclusive property of GAE and that the User has no rights to such content except for the limited license granted herein.

  1. User Content
  2. Definition of User Content”User Content” refers to any content, materials, or information that the User or Care Home submits, posts, uploads, or otherwise makes available to GAE in connection with the services, including but not limited to photographs, videos, feedback, comments, or other user-generated content.
  3. Ownership of User ContentThe User retains all rights, titles, and interests in and to their User Content. By submitting User Content to GAE, the User affirms that they have the necessary rights, permissions, and authority to provide such content and that the content does not infringe upon any intellectual property rights, privacy rights, or other legal rights of any third party.
  4. License to Use User ContentBy submitting User Content to GAE, the User grants GAE a worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, copy, modify, distribute, display, perform, and otherwise exploit the User Content for the purpose of providing, promoting, marketing, or improving the entertainment services. This includes, but is not limited to, using the User Content in promotional materials, advertisements, social media, and other media channels, both online and offline.
  5. No Obligation to Use User ContentWhile GAE may choose to use User Content for promotional or operational purposes, it is not obligated to do so. GAE reserves the right to remove or modify any User Content at its sole discretion, including content that is deemed inappropriate, offensive, or in violation of these Terms and Conditions.
  6. Prohibited User ContentThe User agrees not to submit or share any content that:
    Violates the rights of any third party, including intellectual property, privacy, or publicity rights.
    Contains offensive, defamatory, discriminatory, or otherwise harmful material.
    Promotes illegal activities, harassment, or violence.
    Contains malware, viruses, or other harmful software.
    Is misleading, false, or violates any applicable laws, rules, or regulations.
  7. Monitoring and EnforcementGAE reserves the right to monitor all User Content submitted through its services, but is not responsible for the content posted by Users. If a User becomes aware of any inappropriate or harmful content, they are encouraged to report it to GAE for review and potential action.
  8. Privacy and ConfidentialityGAE is committed to respecting the privacy and confidentiality of the User’s content. Any personal information shared as part of User Content will be handled in accordance with the Company’s Privacy Policy. However, User Content that is publicly shared (e.g., posted on social media) may be accessible by others.
  9. User Responsibility for ContentThe User is solely responsible for the content they submit and ensures that it complies with these Terms and Conditions. The User agrees to indemnify and hold GAE harmless from any claims, damages, or liabilities arising out of the submission or use of their User Content, including any violation of intellectual property, privacy rights, or other legal rights.
    By submitting or sharing any content with GAE, the User acknowledges that they have read, understood, and agree to the terms outlined in this section. The User grants GAE the rights to use their User Content as described above, while retaining ownership of such content.
  10. Privacy and Data Protection

Golden Age Entertainment is committed to protecting your privacy and ensuring that your personal data is handled in a safe and responsible manner. This Privacy Policy explains how we collect, use, disclose, and protect your personal information in connection with our services, specifically our work with care homes and entertainment services.
By using our services, you agree to the practices outlined in this Privacy Policy. If you do not agree with our practices, please refrain from using our services.

Exclusion of Certain DamagesTo the fullest extent permitted by applicable law, GAE and its affiliates, employees, agents, contractors, and service providers shall not be liable to the User or any third party for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, or any other intangible losses, even if GAE has been advised of the possibility of such damages, arising out of or in connection with:
    The use or inability to use the entertainment services provided.
    Any interruption, delay, or failure of service.
    Any event or activity organized by GAE, including but not limited to live performances, workshops, and other entertainment programs.
    Any actions, omissions, or negligence by the Care Home, its staff, or third-party service providers.
  16. Maximum LiabilityIn no event shall the total liability of GAE, whether in contract, tort, or otherwise, exceed the total amount paid by the User for the specific service that is the subject of the claim, or GAE’s fees for the service provided, whichever is less, in the 12-month period preceding the date the claim arose.
  17. No Liability for Force MajeureGAE shall not be held liable for any failure or delay in providing services due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, war, terrorism, strikes, pandemics, or technical failures. In such cases, [Company Name] will make reasonable efforts to reschedule or offer alternative services but will not be liable for any resulting damages or losses.
  18. No Liability for User ContentGAE assumes no responsibility for any User Content submitted by the User, including its accuracy, legality, or appropriateness. The User agrees to indemnify and hold harmless GAE from any claims, damages, or liabilities arising from their User Content.
  19. Limitation of Liability in Connection with Third-Party ProvidersGAE may engage third-party service providers (e.g., performers, contractors, or vendors) in connection with providing entertainment services. GAE shall not be held liable for any acts or omissions of these third parties, and the User agrees to look solely to such third parties for claims arising out of or related to their actions.
  20. Health and Safety DisclaimerWhile GAE takes reasonable precautions to ensure the safety of all participants, including residents and staff, during entertainment events, the Company is not responsible for any injuries, accidents, or health-related issues that may occur as a result of participation in the events. The User is responsible for ensuring that the environment is safe and that residents’ medical or mobility needs are addressed by the Care Home’s staff during the events.
  21. IndemnificationThe User agrees to indemnify, defend, and hold harmless GAE and its affiliates, employees, agents, contractors, and service providers from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
    The User’s breach of these Terms and Conditions.
    Any claims related to the User’s Content.
    The User’s use of the entertainment services.
    Any actions or omissions by the Care Home, its staff, or residents that result in damage, injury, or loss during the provision of the services.
    By using GAE’s services, the User acknowledges and agrees to the limitations of liability set forth in this section, understanding that GAE is not liable for certain damages or claims, and the User’s recourse is limited as described above.
  22. Indemnification
  23. User’s Obligation to IndemnifyThe User agrees to indemnify, defend, and hold harmless GAE, its affiliates, officers, employees, agents, contractors, service providers, and licensors (collectively referred to as “Indemnified Parties”) from and against any and all claims, actions, damages, losses, liabilities, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or relating to:
    The User’s breach of these Terms and Conditions.
    The User’s use or misuse of the services provided by GAE.
    The User’s violation of any applicable laws, regulations, or third-party rights.
    Any claim related to the User Content submitted by the User, including any claims of infringement of intellectual property rights, privacy violations, or defamation.
    Any act or omission by the User, the Care Home, its staff, or residents that results in injury, damage, or loss during the provision of entertainment services.
    The User’s failure to comply with any health, safety, or accessibility requirements in relation to the events or services provided by GAE.
  24. Third-Party ClaimsThe User agrees to indemnify and hold the Indemnified Parties harmless from any claims or disputes that may arise between the User and third parties, including but not limited to residents, visitors, or third-party contractors, related to the entertainment services provided by GAE.
  25. Procedure for IndemnificationIn the event that an Indemnified Party is entitled to indemnification under this section, the User shall cooperate fully in the defense of any claim or action. The User shall not settle or compromise any such claim or action without the prior written consent of GAE. GAE reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification.
  26. Limitations of IndemnificationThe User shall not indemnify GAE for claims arising from the gross negligence, willful misconduct, or unlawful acts of GAE or its employees, agents, or service providers.
    By using GAE’s services, the User agrees to the indemnification provisions outlined in this section and acknowledges their responsibility to protect and hold harmless GAE from any claims or liabilities that may arise as a result of their actions or omissions.
  27. Cancellation policy
  28. Booking cancellation by User
  29. Cancellation of a session within less than a week’s notice of the scheduled performance date will result in the full session fee being charged.
    Cancellations made within less than 3 weeks before the scheduled performance will incur a fee equal to half the session price being charged. Any cancellation made 3 weeks or more before the performance date will be free of charge.

Rescheduling a session

Rescheduling a session with less than one week’s notice before the scheduled performance will incur an administrative fee of £20. Rescheduling a session with less than three weeks’ notice before the scheduled performance will incur an administrative fee of £10. Rescheduling a session three weeks or more before the performance date is free of charge
Cancellation by Provider: The Provider reserves the right to cancel a performance due to unforeseen circumstances (e.g., illness, emergency) and will provide reasonable notice to the client. In such cases, a makeup session will be scheduled at a mutually agreed time.

  1. Dispute Resolution

Informal ResolutionIn the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through informal discussions. The User agrees to notify GAE of any issues or concerns in writing, and both parties shall use good faith efforts to resolve the dispute amicably.

  1. MediationIf the dispute cannot be resolved through informal discussions within [30 days] of notification, the parties agree to attempt to resolve the matter through mediation before pursuing other legal remedies. The mediation shall be conducted in good faith and shall take place at a mutually agreed location, or, if the parties cannot agree, through a virtual mediation service. The mediator shall be selected by mutual agreement between the parties, or, if the parties cannot agree, by a mediator appointed by a recognized mediation organization.
  2. ArbitrationIf the dispute has not been resolved through mediation within [60 days] of initiation, either party may refer the matter to binding arbitration. Arbitration shall be conducted in accordance with the rules of the [chosen arbitration body, e.g., American Arbitration Association (AAA), or a relevant local body] in effect at the time the dispute arises. The arbitration shall be conducted by a single arbitrator, and the location of the arbitration shall be agreed by the parties.
    Final and Binding: The decision of the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.
    Costs and Fees: Each party shall be responsible for its own costs and legal fees, and the arbitrator may not award attorney’s fees unless specifically authorized by applicable law or this Agreement.
  3. Class Action WaiverThe User agrees that any dispute resolution process will be conducted on an individual basis and not as part of a class action, collective action, or representative action. Neither the User nor [Company Name] will bring a claim in any form of class, consolidated, or representative action.
  4. Waiver of Jury TrialThe User and [Company Name] mutually agree to waive the right to a trial by jury in any legal action or proceeding arising out of or relating to these Terms and Conditions.
  5. Continued Performance During DisputeNotwithstanding any dispute or claim, the User agrees to continue to perform its obligations under these Terms and Conditions, including making timely payments for services rendered, unless otherwise directed by a court of competent jurisdiction or by mutual agreement of the parties.
  6. Emergency ReliefNothing in this section shall prevent either party from seeking emergency or provisional relief, including injunctive or equitable relief, from a court of competent jurisdiction to protect its interests while the dispute resolution process is underway.
    By agreeing to these Terms and Conditions, the User acknowledges that they have read, understood, and agree to resolve disputes in accordance with the procedures outlined in this section.
  7. Force Majeure
  8. Definition of Force MajeureNeither GAE nor the User shall be held liable for any failure or delay in the performance of their obligations under these Terms and Conditions if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to, acts of God, natural disasters, pandemics, epidemics, fire, flood, war, terrorism, civil unrest, strikes, lockouts, labor disputes, government actions, changes in laws or regulations, or any other event or condition beyond the reasonable control of the affected party (collectively referred to as “Force Majeure”).
  9. Notification of Force MajeureIn the event that either party is unable to perform its obligations under these Terms and Conditions due to a Force Majeure event, the affected party must notify the other party as soon as reasonably possible, providing details of the event and its expected duration. This notification should be made within [3-5] business days of the Force Majeure event occurring.
  10. Suspension of PerformanceDuring the period that a Force Majeure event continues, the affected party’s performance shall be suspended, and neither party shall be deemed to be in breach of these Terms and Conditions for non-performance. Both parties agree to work together in good faith to minimize any impact on the services provided.
  11. Rescheduling or Termination of ServicesIf the Force Majeure event results in a significant delay or inability to provide services for an extended period, the parties agree to discuss options for rescheduling or adjusting the scope of the services. If the event persists for more than [30-60] days, either party may terminate the agreement by providing written notice, and any payments made for services not yet rendered may be refunded, subject to any applicable cancellation policies.
  12. Obligations Not Excused by Force MajeureNotwithstanding the foregoing, Force Majeure shall not excuse any payment obligations, and the User shall remain responsible for any fees incurred for services already provided by GAE up to the point of the Force Majeure event.
  13. Mitigation of Force MajeureEach party agrees to take reasonable steps to mitigate the effects of the Force Majeure event on its performance, including finding alternative means of performance where possible, or rescheduling events or services to a later time.
  14. Severability

If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable by a court or other competent authority, such provision shall be deemed severed from these Terms and Conditions and the remaining provisions shall remain in full force and effect.
The parties agree that the invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions will continue to be binding and enforceable to the fullest extent permitted by applicable law.
In the event that any provision is found to be invalid, illegal, or unenforceable, the parties agree to replace such provision with a valid, legal, and enforceable provision that closely reflects the original intent of the severed provision, to the extent possible.

  1. Entire Agreement

Complete UnderstandingThese Terms and Conditions, together with any other documents, policies, or agreements referenced herein, constitute the entire agreement between GAE and the User (the Care Home, its staff, or residents, as applicable) regarding the provision and use of the entertainment services. This agreement supersedes all prior or contemporaneous communications, representations, or understandings, whether written or oral, between the parties concerning the subject matter of these Terms and Conditions.
  3. Modifications or AmendmentsGAE reserves the right to modify, amend, or update these Terms and Conditions at any time, and any such changes shall become effective immediately upon posting on our website or providing notice to the User. It is the User’s responsibility to review these Terms and Conditions periodically for any updates or changes. Continued use of the entertainment services after any modifications to these Terms and Conditions shall constitute the User’s acceptance of those changes.
  4. No WaiverNo failure or delay by GAE in exercising any right, power, or privilege under these Terms and Conditions shall operate as a waiver of that right, power, or privilege. Any waiver of any provision of these Terms and Conditions shall be effective only if made in writing and signed by an authorized representative of GAE.
  5. Enforceability of ProvisionsIf any part of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court or other competent authority, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision will be modified to reflect the parties’ intent as closely as possible, consistent with applicable law.
  6. No Third-Party BeneficiariesExcept as expressly provided herein, nothing in these Terms and Conditions is intended to confer any rights or remedies to any third party. The User acknowledges and agrees that these Terms and Conditions are solely between GAE and the User (or Care Home) and do not confer any legal rights or obligations to any third party, except as expressly stated.
  7. HeadingsThe section titles and headings in these Terms and Conditions are for convenience only and shall not affect the interpretation of these Terms and Conditions.
    By accepting these Terms and Conditions, the User acknowledges that they have read, understood, and agree to be bound by the entire agreement, including any amendments or modifications that may be made in accordance with the provisions outlined above.
